When creating a new Business account with us in Spain, we might ask for your Escritura de Constitución de Sociedad. The Escritura de Constitución de Sociedad is the Deed of Incorporation of your company in Spain is an official notarial document that includes:

  • The company’s legal name
  • Type of legal entity (e.g., S.L., S.A.)
  • Registered address
  • Shareholders and their contributions
  • Company bylaws (estatutos)
  • Appointment of administrators or directors

It is signed before a notary at the time of the company’s formation and then registered with the Mercantile Registry (Registro Mercantil).

If we request this document, and you’re not sure where to locate it, you have two main options:

  1. From the Notary:
    • The original deed is kept at the notary’s office where the company was incorporated.
    • You (or an authorized legal representative) can request a certified copy there.
      If you're unsure which notary, contact the local Notarial Association (Colegio Notarial) in your region for help locating it.
  2. From the Mercantile Registry (Registro Mercantil):
    • Once the company is registered, the deed is also filed with the Mercantile Registry in the province of the company’s registered office.
    • You can request a simple or certified copy there, in person, or sometimes online.

What if I don’t know where the original deed was signed?

If you're unsure which notary handled the company’s incorporation, you can:

  • Check with the Mercantile Registry where the company is registered — they will have a record of the notary.
  • Contact the Colegio Notarial (Notarial Association) in your province — they can help identify the notary who holds the original deed.
  • If you're a legal representative, you can request certified copies once you've confirmed the location.

Why is bunq asking me for an “Escritura de Constitución de Sociedad”?

We request this deed to:

  • Verify the legal existence of the company
  • Confirm the authorized representatives
  • Understand the structure and ownership
  • Ensure compliance with anti-money laundering regulations

    Do I need the original Escritura de Constitución or is a copy enough?

A certified copy (copia autorizada) from the notary is sufficient.
