When opening your Business account in Germany, we might ask you for the Articles of Association (in German: Gesellschaftsvertrag or Satzung). We ask for these documents as part of our business verification and compliance process.

What is Articles of Association?

The Articles of Association (in German: Gesellschaftsvertrag or Satzung) are the official founding documents of a company in Germany. They define the company's legal structure, rules, and ownerships.

You automatically create Articles of Association when you register a company, such as a:

  • GmbH (limited liability company)
  • UG (haftungsbeschränkt) (mini-GmbH)
    Note: If your business is a sole proprietorship (Einzelunternehmen), you do NOT have Articles of Association.

How can I get the Articles of Association?

You receive the Articles of Association as part of your company formation process, usually:

  • Drafted and notarized during incorporation
  • Filed with the Handelsregister (Commercial Register)

If you’ve misplaced them, you can:

  1. Request a copy from the notary who helped set up your company
  2. Download them from the official Handelsregister
